Terms of Service & Merchant Agreement

Last Updated: October 12, 2026 • Governed by the Laws of the Republic of India

Official Terms of Service & Platform Agreement:

These Terms constitute a legally binding electronic agreement between you ("Merchant", "Subscriber", "User") and Conbova (Sole Proprietorship) ("Conbova", "Platform", "We", "Us") under the Information Technology Act, 2000, and rules framed thereunder.

1. Platform Scope & Dual Architecture

Conbova provides merchants with cloud infrastructure to deploy either:

  • Mode 1: E-Commerce Storefront: For selling physical or digital goods with cart management, online checkout, Cash on Delivery (COD), and WhatsApp ordering.
  • Mode 2: Lead Generation Website: For service providers, consultants, agencies, and B2B vendors to showcase deliverables and capture customer inquiries via interactive quote request modals and direct WhatsApp/Phone channels.

2. 7-Day Free Trial & Subscription Terms

New accounts receive an unrestricted 7-day free trial. No credit card is required to initiate the trial. Following the trial, ongoing access requires an active paid plan (Starter, Pro Merchant, or Agency Scale). Subscriptions renew monthly or annually based on the merchant's chosen billing cycle.

24-Hour Customer Satisfaction Policy: If a subscriber is not satisfied with the platform, features, or service after purchasing a paid plan, they may request a 100% full refund by emailing [email protected] within 24 hours of purchase. Upon refund approval, the account reverts back to the Free tier. After 24 hours from purchase, subscription fees remain strictly non-refundable, as detailed in our Cancellation & Refund Policy.

3. 0% Commission Policy & Direct Settlements

Conbova does not deduct platform percentage fees on transactions processed across your storefront. Merchants are solely responsible for compliance with any third-party payment gateway transaction fees (e.g., standard MDR fees) or courier logistics contracts.

4. Prohibited Content & Intermediary Safe Harbor

In accordance with Rule 3(1)(b) of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, merchants shall not host, display, upload, modify, or publish any information that:

  • Belongs to another person and to which the user does not have any right.
  • Is defamatory, obscene, pornographic, pedophilic, invasive of another's privacy, or unlawful in any manner.
  • Infringes any patent, trademark, copyright, or other proprietary rights.
  • Violates any applicable law, including counterfeit merchandise or unauthorized pharmaceutical distribution.

Conbova reserves the right to suspend or disable any merchant storefront found to be in violation of statutory rules upon receipt of a lawful order or complaint.

5. Custom Domains & DNS Responsibility

Merchants may link custom domains (.com, .in, etc.) via CNAME records. The merchant is solely responsible for maintaining ownership, registration fees, and ICANN compliance with their respective domain registrar.

6. Absolute Limitation of Liability & Merchant Indemnification

Intermediary Safe Harbor (Section 79, IT Act 2000): Conbova is strictly a technical cloud infrastructure provider. Conbova and its Sole Proprietor (Vishal) are not a party to any transactions between merchants and buyers.

Zero Platform Liability: Conbova and Vishal bear zero responsibility or liability for:

  • Quality, safety, genuineness, legality, or delivery of any products or services offered by merchants.
  • Fraudulent conduct, unauthorized transactions, chargebacks, or unfulfilled refunds on merchant stores.
  • Disputes, claims, losses, or legal notices arising between end-customers and merchants.

Full Merchant Indemnity: The Merchant agrees to defend, indemnify, and hold completely harmless Conbova and Vishal (Sole Proprietor) from and against any claims, damages, liabilities, police inquiries, consumer court awards, or legal expenses arising out of the merchant's business, store content, product delivery, or customer disputes.

7. Service Discontinuation & Platform Retirement

Operational Authority & Service Discontinuation: The Sole Proprietor (Vishal) and Conbova reserve the unilateral authority to modify, suspend, terminate, or retire the platform, website builder, and cloud infrastructure in accordance with technical, operational, or business requirements.

Deactivation of Storefronts: In the event of service discontinuation or permanent platform retirement, hosted storefronts, subdomains, and builder accounts cease operation immediately without ongoing uptime obligations.

Non-Refundable Subscription Fees: Except as expressly provided in the Cancellation & Refund Policy for verified technical billing errors, all subscription fees paid for elapsed or active prepaid periods remain strictly non-refundable upon service termination or retirement.

Merchant Data Backup: Merchants remain solely responsible for maintaining local copies of product assets, catalogs, and customer inquiries. Conbova and its Proprietor bear zero liability for business interruption, lost profits, or data loss arising from scheduled maintenance, emergency downtime, or service retirement.
